Guessed Clauses — What a Lawyer Should Review:
1. INR 10,000 liability cap (Section 10). This figure was carried over from the original terms. For a B2B export business transacting in tens of thousands of USD, this cap is disproportionately low and may be unenforceable in some jurisdictions. A lawyer should advise on an appropriate cap (e.g. tied to the contract value of the specific transaction) and whether the cap would be treated as unfair/void under UK, EU, or US law where buyers are located.
2. Sample disclaimer (Section 5). The clause excluding samples from commercial quality guarantees is standard in commodity trading but should be reviewed to ensure it does not inadvertently negate FSSAI, Spices Board, or ISO 22000 certificate claims made to buyers during due diligence.
3. Force majeure (Section 11). The 60-day termination window was our best guess for an agricultural export context. This should be reviewed against your standard commercial contracts (if any) to ensure consistency.
4. Export compliance allocation (Section 7). We have allocated all import compliance responsibility to the buyer. A lawyer should confirm this is correctly worded for your standard Incoterms (FCA, FOB, CIF) and is consistent with your Proforma Invoice terms.
5. Arbitration clause (Section 13). We defaulted to Thane jurisdiction. For international B2B with buyers in the UK, UAE, and USA, you may want to consider Singapore International Arbitration Centre (SIAC) or ICC arbitration as alternatives, which are more neutral and enforceable in more jurisdictions.
6. No payment terms or retention-of-title clause. These terms do not address payment — they govern Website use only. Your Proforma Invoice and commercial contract should contain payment terms, advance payment requirements, and a Retention of Title (ROT) clause (goods remain Daley Global's property until payment clears). A lawyer should review your PI template separately.
7. India DPDP Act grievance officer. Once the DPDP Act's rules are notified by the Government, companies above a certain threshold may be required to appoint a named Grievance Officer with contact details published on the website. A lawyer should advise on this when the rules are finalised.
